Urban Barns Foods Financing Update

Urban Barns Foods Inc. (URBF.QB) (“Company” or “Urban Barns “), a leading authority on Cubic Farming, for fresh green leafy vegetables

Vancouver, British Columbia, Oct. 23, 2012 — Urban Barns Foods Inc. (URBF.QB) (“Company” or “Urban Barns “), a leading authority on Cubic Farming, for fresh green leafy vegetables, announced today that we have accepted subscriptions for a total of $260,000 at .01 cent and an additional $50,000 at .025 cents.

The Company is currently in discussions with several institutional and high net worth investors to finance the Company’s first facility for commercial production of locally grown vegetables to be located on the West Island of Montreal. The Company has budgeted $2 Million US for the purchase and construction of some 44 Cubic Farming™ machines. Forty of these machines are for commercial production and four machines are for research and development (R&D) initiatives. The additional R&D machines will compliment the existing five machines in the Langley, British Columbia facility.

It is contemplated that each new R&D machine will be housed in a separate enclosure with appropriate room controls. The Company’s initial objectives for these new research machines will be to reduce the growing cycle from the current 35 days and to increase the types of products the company can grow and offer to its future clients.

It is expected to take between 3 to 4 months to contract and build the machines including various leasehold improvements from the date of the closing of the financing.

Vancouver, British Columbia, October 22, 2012 — Urban Barns Foods Inc. (URBF.QB) (“Company” or ” Urban Barns”), is an emerging company specializing in “CUBIC FARMING” a revolutionary type of farming that dramatically increases yields of vegetables with radically diminished water consumption when compared to conventional farming. All produce is locally grown in any geographical location and climate. Urban Barns announced today that it has completed a private placement with investors to sell 25,000,000 common Class A Shares for total proceeds of $250,000.00.

Dan Meikleham, Chairman of Urban Barns, stated that, “Since listing the Company almost three years ago all previous capital raises were primarily used for Research and Development and audit reporting.” Meikleham continued, “With the results of a Top 4 Independent public accounting firm’s review of our process, the board has decided to move into full commercial production starting with Boston Butter lettuce, Basel, Spring Mix and Spinach. Mr. Richard Groome, Director, added, “In addition to the new capital raised, due to our positive progress, our original seed capital investors have converted their $85,000 debt to 18,826,135 common Class A Shares. After the capital raise and the conversion, the total issued and outstanding shares are now 132,769,782 common Class A Shares.”

Richard Groome Joins Urban Barns Foods as Director

Urban Barns Foods (URBF.OB), today announced the appointment of Mr. Richard T. Groome to its Board of Directors as well as a Strategic Marketing Officer.

Vancouver, British Columbia, June 27, 2012 — Urban Barns Foods (URBF.OB), today announced the appointment of Mr. Richard T. Groome to its Board of Directors as well as a Strategic Marketing Officer.  Mr. Groome has an extensive and distinguished career in financing small and mid-size emerging growth companies in Canada, which is one of Urban Barns‘ target markets.

Mr. Groome has been in the financial industry for more than 20 years at such firms as Groome Capital, Marleau Lemire Securities, Sprott Securities and Levesque Beaubien Geoffrion. Mr. Groome was a director of the CDNX Exchange, the predecessor of the TSX Venture exchange for several years and currently sits on the boards of directors of several private and public companies. Mr. Groome has actively managed or participated in over 400 financings representing some $4 billion of small cap financings. Mr. Groome is very active in numerous philanthropic projects most notably underprivileged children in Montreal and Peru, and the World Wildlife Fund. He has a BA in Economics from McGill University.
